PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICESThis agreement contains important information regarding your legal rights, remedies, obligations, and governing consumer protections under UK law (including the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013) and US Federal and State laws (including the FTC Act and Consumer Review Fairness Act).

1. Agreement And Applicability

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between RatingBoostly ("Company", "we", "us", or "our") and any individual, entity, or business entity ("User", "Client", "you") accessing or using our website, platform, software, or services (collectively, the "Services").

By registering for an account, purchasing a subscription, or accessing https://ratingboostly.com/, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Refund Policy. If you are entering into this Agreement on behalf of a business or organizational entity, you represent and warrant that you have authority to bind such entity.

3. Nature Of Services & Compliance Framework

RatingBoostly provides SaaS-based software solutions, reputation management tools, customer feedback collection automation, review request workflows, and analytics widgets designed to assist legitimate businesses in requesting, managing, and showcasing customer feedback.

CRITICAL COMPLIANCE NOTICE (FTC & UK CMA COMPLIANCE)RatingBoostly strictly prohibits any illegal, deceptive, or fraudulent practices, including but not limited to the creation, sale, publication, or facilitation of fake, incentivized without disclosure, or artificial reviews.

No Fake Reviews: Clients agree never to use the Services to solicit, purchase, generate, or publish fraudulent, automated, or non-authentic reviews or testimonials.

Review Gating Prohibition: In compliance with guidelines enforced by the US Federal Trade Commission (FTC) and the UK Competition and Markets Authority (CMA), Clients shall not "gate" reviews by selectively funneling unhappy customers away from third-party review platforms while directing positive feedback to public listings.

Incentivization Transparency: Any incentive offered to customers in exchange for an honest review must be non-contingent on rating value and fully disclosed in accordance with FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising and UK Trading Standards regulations.

4. User Accounts & Security

To access our platform, you must register for an account by providing accurate, complete, and current business and contact information. You are solely responsible for maintaining the confidentiality of your credentials and for all activities occurring under your account. You agree to notify RatingBoostly immediately upon becoming aware of any unauthorized access or security breach.

5. Pricing, Payment, And Subscriptions

Subscription Models: Services are provided on a recurring subscription basis (monthly or annually) according to the selected plan tier at checkout.

Payment Processing: Payments are processed via PCI-DSS compliant third-party payment gateways (e.g., Stripe, PayPal). By adding a payment method, you authorize automatic recurring charges corresponding to your subscription cycle.

Taxes: All fees are exclusive of applicable taxes. UK clients are subject to standard UK Value Added Tax (VAT) where applicable. US clients are responsible for state/local sales taxes where required.

6. Intellectual Property Rights

All software, proprietary code, designs, algorithms, trademarks, visual interfaces, graphics, and documentation associated with RatingBoostly are the exclusive intellectual property of RatingBoostly and its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business operations during your active subscription term.

7. User Content And Data Protection

You retain ownership of all data, logos, text, customer lists, and information uploaded to the platform ("User Content"). You grant RatingBoostly a worldwide, royalty-free license to host, store, process, and display User Content solely to the extent necessary to provide the Services.

Both parties agree to comply with applicable data privacy laws. Where personal data of UK/EU citizens is processed, the terms of our Data Processing Addendum (DPA) incorporating UK Standard Contractual Clauses (SCCs) shall apply.

8. Limitation Of Liability & Disclaimer Of Warranties

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Liability Cap: To the maximum extent permitted by applicable law, neither RatingBoostly nor its officers, directors, or employees shall be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, goodwill, or business opportunity.

Aggregate Limit: RatingBoostly’s total cumulative liability arising out of or related to this agreement shall not exceed the total amount paid by you to RatingBoostly during the six (6) months immediately preceding the event giving rise to liability.

UK Statutory Exception: Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any statutory rights under the UK Consumer Rights Act 2015 that cannot be lawfully excluded.

9. Indemnification

You agree to defend, indemnify, and hold harmless RatingBoostly, its affiliates, directors, officers, and employees from and against any claims, damages, losses, liabilities, costs, and legal fees arising from: (a) your violation of these Terms; (b) your violation of third-party review platform terms (e.g., Google, Trustpilot, Yelp); or (c) any allegation that your User Content or practices violate FTC guidelines, UK CMA regulations, or consumer protection statutes.

10. Termination And Suspension

We reserve the right to immediately suspend or terminate your access to the platform without prior notice if: (a) you fail to pay fees when due; (b) you breach any material provision of these Terms; or (c) we reasonably suspect engagement in prohibited review manipulation or unlawful activities.

11. Governing Law And Dispute Resolution

UK / European Users: These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England, subject to mandatory consumer protections under local law.

US / Rest of World Users: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, waiving any right to participate in class actions.
